Asset Kit License Agreement

This License Agreement ("Agreement") is a binding legal contract between Enviroweb LTD ("Licensor", "Us", "We") and the customer ("Licensee", "You"). By downloading, accessing, or using any of the Asset Kits provided by Enviroweb LTD, the Licensee agrees to comply fully with the terms and conditions set forth in this Agreement.

For the purposes of this Agreement, “Asset Kits” refers to the proprietary digital resources provided by Enviroweb LTD, including but not limited to logos, badges, and other branded visual elements, designed for use in connection with active website hosting, email services, or domain registration plans.

This Agreement governs the Licensee’s rights and responsibilities regarding the use of the Asset Kits and incorporates by reference any related policies, including the Terms of Service and Privacy Policy available on Enviroweb LTD’s website. By proceeding, the Licensee acknowledges their acceptance of these terms.

2. Grant of License

Enviroweb LTD ("Licensor") hereby grants the Licensee a limited, non-exclusive, non-transferable, and revocable license to use the provided Asset Kits, subject to the terms and conditions outlined in this Agreement. This license is granted solely for the purposes described in this Agreement and applies only to the specific Asset Kits associated with the Licensee’s active services with Enviroweb LTD.

2.1 Asset Kits Covered

• Website Asset Kit: Authorised for use in connection with an active website hosting plan provided by Enviroweb LTD.
• Email Asset Kit: Authorised for use in connection with an active cloud email service subscription provided by Enviroweb LTD.
• Domain Asset Kit: Authorised for use in connection with a domain name actively registered with Enviroweb LTD.

This license does not transfer ownership of the Asset Kits or any associated intellectual property rights to the Licensee. Enviroweb LTD retains all ownership, title, and rights to the Asset Kits, including but not limited to trademarks, copyrights, and other proprietary elements.

3. Intended Use and Permitted Uses

3.1 Intended Use

The primary purpose of the Asset Kits is to enable the Licensee to communicate to their audience, customers, viewers, clients, or users that their internet-based operations leverage sustainable web solutions to power their online presence and mitigate environmental impact. These assets are intended to be used in a constructive and transparent manner, ensuring that the final viewer, customer, client, or audience is not misled. Enviroweb LTD, as the Licensor and owner of the intellectual property, reserves the right to revoke the license if it determines that the intended use has been compromised, misrepresented, or used in bad faith.

3.2 Permitted Uses and Restrictions

The Licensee may:

• Use an Asset Kit they have gained access to through the purchase of an associated product or service (Website Hosting Plan, Cloud Email Plan, or Domain Name Registration / Transfer) for the duration that the associated product or service remains active.

The Licensee may not:

• Use the Asset Kit after the associated product or service has expired, been cancelled, or transferred to another provider.
• Reuse or republish material that includes elements of an Asset Kit of an expired product/service unless the elements of that Asset Kit have been removed entirely from such material before reuse.

3.3 Website Asset Kit

The Licensee may:

• Use the Website Asset Kit on the website, primary domain, subdomains, email accounts associated with the same domain as the Licensee’s active website hosting plan provided by Enviroweb LTD.
• Use the Website Asset Kit in digital marketing campaigns, online advertisements, and social media content.
• Include the Website Asset Kit in printed materials such as brochures, flyers, and banners.
• Integrate the Website Asset Kit into product packaging to highlight the Licensee’s commitment to sustainable practices related to their online presence.

The Licensee may not:

• Use the Website Asset Kit on websites, subdomains, or email accounts that are not associated with the domain name linked to their active hosting plan.
• Use the Website Asset Kit in digital marketing campaigns, online advertisements, social media content, or printed materials that are not associated with the domain name / brand linked to their active hosting plan with Enviroweb LTD.
• Distribute, sublicense, or share the Website Asset Kit in any manner that allows third parties to use or modify the assets.

3.4 Email Asset Kit

The Licensee may:

• Use the Email Asset Kit in email signatures for addresses linked to the cloud email plan, website content, primary domains, and subdomains associated with the same domain name as the Licensee’s active cloud email plan.
• Display the Email Asset Kit in email signatures for additional accounts under the Licensee’s active cloud email plan.
• Include the Email Asset Kit in printed materials such as brochures, flyers, and banners.
• Integrate the Email Asset Kit into product packaging to highlight the Licensee’s commitment to sustainable practices related to their online presence.

The Licensee may not:

• Use the Email Asset Kit on more email accounts associated with their domain than they have an active subscription for (e.g., using a subdomain email account to circumvent the email account quota).
• Use the Email Asset Kit on websites, subdomains, or email accounts that are not associated with the domain name linked to their active hosting plan.
• Use the Email Asset Kit in digital marketing campaigns, online advertisements, social media content, or printed materials that are not associated with the domain name linked to their active email plan with Enviroweb LTD.
• Distribute, sublicense, or share the Email Asset Kit in any manner that allows third parties to use or modify the asset.

3.5 Domain Asset Kit

The Licensee may:

• Use the Domain Asset Kit on websites, primary domains, subdomains, and email accounts linked to the domain name actively registered with Enviroweb LTD.
• Use the Domain Asset Kit in online advertising, printed marketing materials, and product packaging to highlight the Licensee’s commitment to sustainable practices related to their online presence.
• Display the Domain Asset Kit in advertising campaigns, printed marketing materials, and social media content related to the domain name actively registered with Enviroweb LTD.

The Licensee may not:

• Use the Domain Asset Kit if the domain is transferred away from Enviroweb LTD or if the registration expires.
• Share or sublicense the Domain Asset Kit in a way that allows external parties to use or modify the asset.
• Use the Domain Asset Kit in digital marketing campaigns, online advertisements, social media content, or printed materials that are not associated with the domain name linked to their active domain registration with Enviroweb LTD.

3.6 General Permissions for All Asset Kits

• Internal distribution is allowed within the Licensee’s organisation to enable proper use of the asset kits as defined in this section.

We actively encourage the Licensee to contact Us through their account dashboard if they are uncertain whether their intended use complies with this Agreement.

4. Customisation of Asset Kits

4.1 The Licensee may:

• Resize the asset kits proportionally to fit display needs.
• Add their own logo / branding to social media template images & template videos.
• Modify the wording of the predefined sections to align with their branding tone.
• Create their own digital content including the asset kit badges provided that the badges are not modified.

4.2 The Licensee may not:

• Alter colours, text, fonts, crop out elements, or modify any other design elements.
• Remove or modify any proprietary markings, TM symbols, or watermarks indicating Enviroweb LTD’s ownership.
• Sublicense self-created content containing the asset kits.

5. Duration of Use

The Licensee’s right to use each Asset Kit is conditional upon maintaining an active subscription to the respective product or service associated with that Asset Kit. The duration of the license for each Asset Kit is as follows:

• Website Asset Kit: The license remains valid only while the Licensee maintains an active website hosting plan with Enviroweb LTD.
• Email Asset Kit: The license remains valid only while the Licensee’s cloud email service subscription remains active with Enviroweb LTD.
• Domain Asset Kit: The license remains valid only while the associated domain is actively registered with Enviroweb LTD.

5.1 Termination of Rights

If any associated product or service is cancelled, transferred to another provider, or not renewed, the Licensee must:

• Cease all use of the corresponding Asset Kit in any form, including digital and physical media from the effective date of the cancellation or transfer.
• Remove all instances of the relevant Asset Kit from websites, email signatures, promotional materials, and other locations where it is displayed.

Failure to comply with these requirements may result in further action by Enviroweb LTD, including but not limited to legal proceedings to enforce compliance or seek damages for unauthorised use.

6. Prohibited Content and Usage

The Licensee is strictly prohibited from using any Asset Kit in connection with content, activities, or materials that:

• Violation of Laws: Violate any applicable local, national, or international laws, regulations, or directives.
• Sexually Explicit Material: Include, promote, or are associated with nudity, sexually explicit material, pornographic content, or any form of sexually exploitative material.
• Hate Speech or Discrimination: Advocate for, promote, or incite hate speech, discrimination, or violence against any individual or group based on characteristics such as race, religion, gender, sexual orientation, disability, ethnicity, or nationality.
• Fraudulent or Illegal Activities: Engage in or facilitate fraudulent, illegal, or unauthorised activities, including but not limited to hacking, unauthorised data access, phishing, spamming, or copyright or trademark infringement.
• Malicious or Harmful Content: Include malware, viruses, spyware, or other malicious code designed to disrupt, harm, or gain unauthorised access to systems, data, or information.
• Reputational Harm: Damage, misrepresent, or otherwise undermine the reputation, goodwill, or intellectual property of Enviroweb LTD, its brand, or its associated products and services.
• Misleading or Deceptive Use: Mislead or deceive end users, audiences, or clients regarding the nature, origin, or purpose of the Asset Kits, or misrepresent the Licensee's association with Enviroweb LTD.

All uses of the Asset Kits must align with the prohibited activities outlined in this Licence Agreement, Enviroweb LTD’s Terms of Service, and other applicable policies. These policies are incorporated into this Agreement by reference and may be updated from time to time.

Enviroweb LTD reserves the right to evaluate and determine prohibited content or activities on a case-by-case basis. Any use deemed inappropriate, harmful, or inconsistent with this Agreement may result in immediate action, including but not limited to revocation of the license and legal enforcement.

6.1 Withdrawal of Rights

Enviroweb LTD reserves the right to revoke the Licensee’s license to use any Asset Kit, without prior notice, under the following circumstances:

• Breach of Agreement: The Licensee violates any terms outlined in this Agreement, including but not limited to misuse, unauthorised modifications, or prohibited activities.
• Violation of Related Policies: The Licensee breaches any associated policies, such as Enviroweb LTD’s Terms of Service or other policies publicly available on the Enviroweb LTD website, which are incorporated into this Agreement by reference.
• Compromise of Intended Purpose: The use of the Asset Kits compromises, misrepresents, distorts, or otherwise undermines their intended purpose as defined in Section 3.1 of this Agreement.
• Inappropriate Use: The Licensor determines, at its sole discretion, that the Licensee’s usage of the Asset Kits is inappropriate, misleading, harmful, or inconsistent with the spirit and intent of this Agreement.
• Reputational Harm: The usage of the Asset Kits causes or is likely to cause reputational damage to Enviroweb LTD, its intellectual property, or its brand.

Upon withdrawal of rights, the Licensee must:

1. Immediately cease all use of the revoked Asset Kits in any form.
2. Remove all instances of the Asset Kits from digital and physical materials, including but not limited to websites, email signatures, marketing collateral, and packaging.

Failure to comply with these obligations may result in further action by Enviroweb LTD, including but not limited to legal proceedings to enforce compliance or seek damages.

7. Indemnity

The Licensee agrees to indemnify, defend, and hold harmless Enviroweb LTD, its officers, directors, employees, affiliates, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including but not limited to reasonable legal fees and court costs) arising out of or related to:

• Use or Misuse of Asset Kits: The Licensee’s use, misuse, or unauthorised use of the Asset Kits in violation of this Agreement or applicable laws.
• Breach of Agreement: The Licensee’s failure to comply with any provision of this Agreement, including restrictions on permitted uses or prohibited content.
• Third-Party Claims: Any claim by a third party alleging that the Licensee’s use of the Asset Kits infringes upon intellectual property rights, violates applicable laws or regulations, or causes harm to any person or entity.
• Content Liability: Any content or materials created, distributed, or displayed by the Licensee using the Asset Kits that result in claims of defamation, misrepresentation, fraud, or other legal violations.

7.1 Obligations in the Event of a Claim

The Licensee’s indemnification obligations include the duty to:

• Promptly notify Enviroweb LTD of any claims or legal proceedings related to the Asset Kits.
• Provide Enviroweb LTD with all reasonable cooperation and assistance in the defence of such claims.
• Assume and cover the cost of defence, including hiring legal counsel, if necessary, unless otherwise agreed by Enviroweb LTD.

7.2 Reservation of Rights

Enviroweb LTD reserves the right to assume its own defence and control of any matter subject to indemnification under this section, at the Licensee’s expense, if Enviroweb LTD determines it is necessary to protect its interests. This section ensures that the Licensee is fully responsible for any claims or damages arising from their actions, providing robust protection for Enviroweb LTD.

8. Trademark Notice

The Licensee acknowledges that the Asset Kits include proprietary elements, including but not limited to logos, designs, and other visual assets, that are marked with the TM symbol. This marking signifies Enviroweb LTD’s trademark application status and its intent to protect these elements as intellectual property.

The Licensee must not:

• Alter, obscure, or remove the TM symbol or any other proprietary markings included with the Asset Kits.
• Represent or imply ownership of the Asset Kits or any associated trademarks.
• Use the Asset Kits in a manner that infringes upon Enviroweb LTD’s intellectual property rights or dilutes the distinctiveness of the trademarks.

8.1 Trademark Application Status

The use of the TM symbol indicates that Enviroweb LTD is in the process of registering the trademarks but retains all rights to enforce its ownership of the marks under applicable intellectual property laws.

8.2 Enforcement of Rights

Enviroweb LTD reserves the right to take legal action against unauthorised use, reproduction, or misrepresentation of its trademarks or other proprietary elements included in the Asset Kits.

9. Monetisation and Branding Usage

The Licensee may:

• Use the Asset Kits in advertising, marketing campaigns, and promotional materials directly tied to their business, brand, or services, provided the usage aligns with the terms of this Agreement.
• Incorporate the Asset Kits into packaging materials, such as product boxes, labels, or shipping materials, as long as the use is consistent with the Licensee’s business branding and is not intended for resale or standalone distribution.
• Feature the Asset Kits in online and offline promotional efforts, including digital banners, flyers, brochures, presentations, and social media content, provided such use promotes the Licensee’s products or services and complies with the intended purpose of the kits.

The Licensee may not:

• Use the Asset Kits to create merchandise, such as clothing, mugs, stationery, or other physical products, intended for standalone sale or third-party distribution, without obtaining prior written permission from Enviroweb LTD.
• Repurpose or modify the Asset Kits to mislead or falsely represent their business or affiliations or use the kits in a manner that violates the intended purpose outlined in this Agreement.
• Allow any third parties to use or monetise the Asset Kits through sublicensing, redistribution, or independent branding activities.

9.1 Clarification on Permitted Uses

The inclusion of the Asset Kits in branding, marketing, or monetisation activities must remain aligned with promoting the Licensee’s own business or services and to highlight that sustainable solutions have been used to deliver the business or service.

10. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of laws principles.

The terms and procedures for dispute resolution, including but not limited to negotiation, arbitration, and legal proceedings, are outlined in Enviroweb LTD’s Terms of Service, which are incorporated into this Agreement by reference. By agreeing to this document, the Licensee also agrees to the dispute resolution terms specified therein.

The Licensee is advised to review the Terms of Service for detailed information on the applicable dispute resolution processes and requirements.

11. User Obligations

The Licensee agrees to adhere to the following obligations as a condition of their license to use the Asset Kits:

• Compliance with Terms: The Licensee must comply with all provisions outlined in this Agreement, as well as any related policies or guidelines provided by Enviroweb LTD, including but not limited to the Terms of Service and Privacy Policy.
• Cessation of Use: Upon termination, cancellation, or expiration of the associated product or service, the Licensee must cease all use of the Asset Kits and remove them from all digital and physical materials, including websites, email signatures, advertisements, and marketing collateral from the effective date of the termination, cancellation, or expiration of the associated product or service.
• Notification of Breach or Unauthorised Use: The Licensee must promptly notify Enviroweb LTD of any unauthorised use, suspected misuse, or breaches of this Agreement. Notification must include all relevant details to assist in addressing the issue effectively.
• Legal Compliance: The Licensee must ensure that their use of the Asset Kits complies with all applicable local, national, and international laws and regulations, including those related to intellectual property, advertising standards, and consumer protection.
• Integrity of Use: The Licensee must ensure that their use of the Asset Kits aligns with the intended purpose defined in this Agreement and does not mislead or deceive their audience regarding their relationship with Enviroweb LTD or their commitment to sustainability.

Failure to comply with these obligations may result in immediate termination of the Licensee’s rights under this Agreement, potential legal action, and other remedies as deemed necessary by Enviroweb LTD.

12. Rights Reserved by Licensor

Enviroweb LTD retains the following rights to safeguard its intellectual property, enforce this Agreement, and ensure compliance:

• Modification of Agreement: Enviroweb LTD reserves the right to modify, update, or amend the terms of this Agreement at any time. Any changes will be communicated to the Licensee with reasonable prior notice. Continued use of the Asset Kits after such modifications constitutes acceptance of the revised terms.
• Compliance Monitoring: Enviroweb LTD reserves the right to review and monitor the Licensee’s use of the Asset Kits to verify compliance with the terms of this Agreement. The Licensee agrees to provide reasonable cooperation during such reviews, including but not limited to access to relevant materials or documentation upon request.
• Legal Enforcement: Enviroweb LTD retains the right to take all necessary legal action to protect its intellectual property, brand integrity, and rights under this Agreement. This includes, but is not limited to, revocation of the license, issuance of cease-and-desist notices, and initiation of legal proceedings for damages or injunctive relief as deemed appropriate.
• Termination of Use: Enviroweb LTD reserves the right to revoke the Licensee’s license to use the Asset Kits at its sole discretion if the Licensee breaches this Agreement, misuses the Asset Kits, or engages in activities inconsistent with the intended purpose or the terms herein.

These rights are reserved to ensure the integrity and proper use of Enviroweb LTD’s intellectual property and to protect its business interests.

13. Confirmation of Agreement

The Licensee is required to confirm their acceptance of this Agreement by checking the acknowledgment box during the account creation process at checkout. This confirmation indicates that the Licensee has read, understood, and agrees to the terms outlined in this Agreement.

The acknowledgment box is a mandatory step, and the Licensee will not be able to complete their account creation or proceed with the checkout process without providing this confirmation.

By completing this step, the Licensee agrees to be bound by this Agreement and any related policies referenced herein.

14. Entire Agreement

This Agreement, in conjunction with Enviroweb LTD’s Terms of Service and any related policies available on its website, represents the entire agreement between Enviroweb LTD and the Licensee concerning the Asset Kits.

Any modifications or changes to this Agreement must be documented in writing and expressly agreed upon by both parties. In the absence of such written agreement, no deviations from the terms outlined herein shall be valid or enforceable.

For clarity or additional terms applicable to the use of Enviroweb LTD’s services, the Licensee is encouraged to review the referenced Terms of Service and policies.
